Directors are appointed to control the affairs of the Company as per the Memorandum and Articles of Association of the Company. A Director can resign by giving notice in writing of his resignation to the Company.
The Company as well as the resigning Director must inform the Registrar of Companies (ROC) by filing e-form with reason for the resignation within 30 days from the resignation. The fact of the resignation must also be reported in board report of the financial year in which the director resigned by the Company. The resignation shall take effect from the date on which the notice is received by the Company or the date specified by the resigning Director in the notice. The Director can also be removed from the Company by the shareholders of the Company by passing ordinary resolution
